Welcome to Programmatic LLC (“Programmatic,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our websites, products, software, platforms, applications, and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. Eligibility and Authority

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.


2. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable law, regulation, or third-party rights

  • Interfere with or disrupt the security or operation of the Services

  • Attempt to gain unauthorized access to systems, networks, or data

  • Reverse engineer, decompile, or attempt to extract source code unless expressly permitted by law

  • Use the Services to transmit malicious code, spam, or harmful content

We reserve the right to suspend or terminate access for violations of these Terms.


3. Intellectual Property Rights

All content, software, designs, text, graphics, logos, trademarks, trade names, and proprietary materials within the Services are owned by or licensed to Programmatic and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the Services without our prior written consent.


4. Client and On-Premise Services

If you access Programmatic Services through an on-premise, private cloud, or client-hosted deployment, the organization providing access (“Implementing Organization”) controls the configuration and use of those Services.

In such cases:

  • Data handling is governed by agreements between Programmatic and the Implementing Organization

  • Programmatic is not responsible for the organization’s internal policies or configurations


5. User Content and Submissions

If you submit information, data, feedback, or materials through the Services (“Submissions”):

  • You grant Programmatic a non-exclusive, worldwide, royalty-free license to use such Submissions for business, operational, and service-improvement purposes

  • You represent that you have the right to provide the Submissions and that they do not violate any law or third-party rights

We are not obligated to monitor or retain Submissions.


6. Third-Party Services and Links

The Services may include links to or integrations with third-party websites, platforms, or tools. Programmatic does not control and is not responsible for third-party content, policies, or practices.

Your use of third-party services is governed solely by their respective terms and policies.


7. Confidentiality

Any non-public business, technical, or commercial information disclosed by Programmatic is confidential and may not be disclosed or used except as permitted by written agreement or required by law.


8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGRAMMATIC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

We do not warrant that the Services will be uninterrupted, error-free, or secure.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGRAMMATIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID TO PROGRAMMATIC FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100 IF NO FEES WERE PAID.


10. Indemnification

You agree to indemnify, defend, and hold harmless Programmatic, its affiliates, officers, directors, employees, and partners from any claims, damages, losses, or expenses arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your infringement of any third-party rights


11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we discontinue the Services.

Upon termination, all rights granted to you under these Terms will cease.


12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Programmatic LLC is incorporated, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the competent courts of that jurisdiction.


13. Changes to These Terms

We may update these Terms from time to time. Changes will be effective when posted. Continued use of the Services after changes constitutes acceptance of the updated Terms.
